Terms of Service

ResumeGyani Enterprise is a business-to-business service. To register, you must be a duly authorised representative of a legal entity — a placement agency, college career cell, HR firm, EdTech company, or corporate L&D team.

You are responsible for all activities that occur under your workspace, including actions taken by consultant accounts you invite. You must provide accurate organisational details at signup and keep them up to date.

Individual consumer use is governed by the separate consumer Terms of Service. Enterprise accounts may not be used for personal, non-commercial purposes.

ResumeGyani Enterprise uses a slot-based billing model. One slot equals one candidate profile for the duration of your active billing cycle. Purchasing a plan or top-up allocates a fixed number of slots to your workspace.

Free Pilot: All new workspaces receive a 7-day free pilot with 5 candidate slots and full feature access. No credit card is required. Pilot slots expire at the end of the 7-day period.

Paid Plans: Paid plans (Lite and Pro) are billed monthly or quarterly in advance via Razorpay. Pricing in INR is inclusive of applicable GST unless stated otherwise. You authorise recurring charges on the selected billing frequency unless you cancel before the next renewal date.

Slot Top-ups: Additional slots may be purchased mid-cycle at the prevailing top-up rate. Top-up slots expire at the end of the current billing cycle and do not carry forward.

ATS checks, AI Resume Agent uses, and resume edits performed on an existing candidate slot are unlimited and do not count against your slot allocation. Slots are consumed only when a new candidate profile is created.

You agree to use ResumeGyani Enterprise solely for lawful B2B purposes. You must not:

• Upload resumes of individuals without their knowledge or consent.
• Use the platform to process candidate data for any purpose beyond resume optimisation and job placement activities.
• Resell, sublicense, or white-label the platform without our written consent.
• Attempt to reverse-engineer, scrape, or extract underlying AI models or data.
• Share login credentials between users — each consultant must have their own invited account.
• Use automated tools to bulk-create candidate profiles in excess of your slot allocation.

We reserve the right to suspend or terminate workspaces that violate these terms without refund.

For the purposes of data protection law, your organisation is the data controller for candidate personal data you upload into the platform. We act as a data processor on your behalf.

You represent and warrant that you have obtained all necessary consents and have a lawful basis under applicable law (including India's Digital Personal Data Protection Act, 2023) to upload and process each candidate's resume and personal information.

We will process candidate data only as instructed by your use of the platform. We do not sell, share, or use candidate data for any purpose other than providing the service to your workspace.

AI training: We never use your candidates' resumes or any workspace data to train or fine-tune AI models.

The workspace admin may invite team members (consultants) up to the limit of their plan. Consultant accounts operate under the admin's workspace and share the slot pool.

The admin is solely responsible for managing access: revoking invitations when a team member leaves the organisation, and ensuring consultants comply with these Terms. We are not liable for data accessed or actions taken by consultant accounts authorised by the admin.

ResumeGyani Enterprise, including its AI models, software, templates, and visual design, is the intellectual property of Nyquist Tech Pvt. Ltd.. Nothing in these Terms grants you any ownership or licence beyond the limited right to use the platform as described herein.

Resumes, candidate data, and organisational content you upload remain your property (or that of the relevant candidate). By uploading content, you grant us a limited, non-exclusive licence to process it solely to provide the service.

We aim to provide continuous availability but do not guarantee 100% uptime. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party infrastructure (Firebase, Razorpay, Vercel, or AI model providers).

Features and pricing are subject to change. Material changes to paid plans will be communicated at least 14 days in advance to the admin email on record.

To the maximum extent permitted by law, Nyquist Tech Pvt. Ltd.'s total liability to your organisation shall not exceed the amount paid by you in the 3 months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, or consequential losses including lost placements, lost revenue, or reputational harm arising from your use of the platform.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

We may update these Terms from time to time. We will notify the admin email on record at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
